Once upon a time the American Dream was simple; start a company, grow the company, create jobs and provide a better path for your children. Now the American dream is how to stay afloat, keep your house and remove the daggers that the government is ramming in the small of your back. Your congressman and governor say one thing and do another. The white house takes your tax dollars with one hand and pickpockets you for your lunch money with the other.

Activist bloggers and armchair protesters are against the system when it’s convenient but when the spotlight is off and no one is watching they golf with their senator and take quiet money from special interest groups.

The entrepreneur has been drug into the darkened alleyway, sucker punched, hogtied and left to rot by a system that uses them like a smack-head hits the pipe and as long as the media keeps quiet, the individual entrepreneur feels that they are the only ones engaged in this struggle but this is simply not the case.

The banks wanted more than your house, they wanted your tax dollars and the government gave it to them and in front of the cameras they shook hands and agreed that this ‘bailout money’ would go back into the economy to spark a resurgence in civilian confidence in a system that force-feeds poison and slices off pounds of flesh from it’s zombie citizens.

The reality is, in back room meetings and secret handshakes this money was understood to go into the pockets of corrupt institutional banks and would never make it to local and national economic relief. Knowing all of this, ask yourself, at the end of the day, who can you turn to? What politician at any level can you trust to cut you a break? The answer is simple, none. Look to your right and left and you’ll find the answer. The accredited investor and people investing in people is the only way to slow down the corruption. Of course when the government sees how unity is productive they’ll figure out a way to pollute our confidence in one another with overgeneralizations and hyphenated ethnicities and other politically correct pig Latin that means nothing but divides everyone. In that division is where the government takes hold.

Here is a revolutionary idea. Actually, it’s not so revolutionary as it is unspoken and it goes like this: Business plan + Private Placement Memorandum + Fund Raising = Take your company public. Taking your company public is the only way to take control of your truly productive and marketable product or service and the steps are simple and above. First start with a professionally authored business plan that clearly spells out your idea and sets the stage for what your company is about and the reality of what is possible. Be truthful. Be honest and the investors will come if you position yourself properly. Positioning yourself properly in the USA means setting up a structure that the government can control and in this case the minimum requirement for raising equity capital is with a regulation D rule exemption 504, 505 or 506 also referred to as a private placement memorandum (PPM) which is an SEC regulated mechanism for distributing shares in your company for investment dollars. I’m not a fan of big government but Reg D is a good idea and keeps from the wrong types of people raising capital. Regulation D keeps it clean by spelling out the potential risk factors for your company and by using a valuation it will state a solid ‘per share’ price. You simply put out a certain amount of equity for public consumption and set the share price and offer it to people by staying within the non solicitation standards set forth by the SEC and it’s that easy. After you’ve initiated your fund raising you’ll want to provide a profitable exit strategy for your investors and you’ll want a way to capitalize off of your position so your company can grow. Going public on the OTCBB (over the counter bulletin board) is a great way to expand and raise capital. Have a qualified securities attorney file your s1 and go through comments with the SEC. Have your consultant or attorney refer you to a solid market maker to sponsor your 15c211 with FINRA and wham-bam you have a trading symbol and you’re public. Now just file your 10k’s and 10Q’s throw in some solid publicity and investor relations and you’re off and running. Stepping outside the system and getting organized will take you places you’ve never dreamed possible. Get out there! You can do it.

While the St. Louis Rams aren’t the toughest opponents the NFL can offer, the Seattle Seahawks played well on both offense and defense en route to a 28-0 opening game victory. Jim Mora made a successful debut as Seahawks coach and Matt Hasselbeck played his first regular season game since last Thanksgiving.

The Seahawks easily covered the spread as -7 home favorites. The ATS victory improved the Seahawks to 18-15 against the number in the past three years. The Rams dropped to a dismal 11-22 ATS in the past three years with a 9-20 mark as an underdog. The 28 points scored went UNDER the total of 41. The Seahawks are 16-16 O/U in their lined games over the past three years, while the Rams have gone UNDER in 17 of their last 30.

Mora hadnt been at the helm of an NFL team since he was fired by the Atlanta Falcons in 2006. He is a native of the Jet City and once worked as a visiting locker room attendant for the Seahawks. He talked about his successful homecoming in his post game interview:

“It was especially emotional for me, because there is some significance to it. I’d be lying if I told you there wasn’t. It was kind of a surreal experience.”

Linebacker Aaron Curry commented after the game that defensive tenacity and toughness are goals for the new look Seattle team:

While the Seahawks looked to be much improved over last year, the Rams looked to be the same pitiful team that stumbled to a 2-14 record in 2008. It was hardly the debut that rookie head coach Steve Spagnuolo had hoped far as St. Louis gained only 247 yards and 13 first downs. You know things are bad when players point to personal fouls as a positive, as Steven Jackson did in his postgame interviews:

“Would you rather us just get our tail kicked and walk back to the huddle? You saw some fight in this team.”

The Rams looked sloppy and undisciplined throughout, to the point of having their only touchdown of the game negated due to too many men on the field. Clearly, the problems with the St. Louis team run much deeper than coaching.

The schedule wont get any easier for St. Louis, as they hit the road again this week to face the Washington Redskins. The Rams are a +10 road underdog in that contest with the total set at 36. Theyll open their home season the following week against Green Bay before playing another road contest on October 4th against the San Francisco 49ers. Seattle will also play away from home this Sunday, heading down the coast to meet the resurgent San Francisco 49ers. The Niners are a -1 home favorite with the total set at 39. The Seahawks will host the Chicago Bears the following Sunday before a road game at Indianapolis on October 4th.

Browns Keeping Starting QB Under Wraps

Most NFL head coaches place a priority on naming a starting QB before the regular season begins. The idea is that it helps the chemistry on the team, as well as helping the quarterback define himself as a team leader. Cleveland Browns head coach Eric Mangini hasn’t named his starting QB yet. Nor will he, at least not publicly. Brady Quinn and Derek Anderson will find out if they’re the starting QB in the next couple of days, but the first public confirmation their coach will give is when they trot out on the field after the NFL regular season begins.

Mangini stressed that he’d already made his choice, and that hell meet with both Quinn and Anderson individually to inform them of his decision. He made clear that there would be no public announcement forthcoming:

“In terms of announcing it publicly, that’s not something I plan to do. It will be internal. I understand everybody has a different opinion on it. I respect that. I understand the excitement in relationship to that and I respect that as well. But that will be something that will be internal.”

As of Sunday, both quarterbacks were still up in the air and not saying much. Derek Anderson said he didnt have a clue:

“I know as much as you guys know.

While Quinn suggested that it was a bigger concern for the media than it was for him:

“I’m not worried about it. You guys are more worried about it than I am.”

Mangini may be trying to gain a strategic advantage over the Browns opponents in their opening game:

“It is more difficult to plan for two quarterbacks than it is to plan for one. I’m not saying that’s going to be the difference or not the difference, but I know that there is time allotted to that and you can’t put the same amount of time into focusing on one player.”

Vikings coach Brad Childress said that it really didnt make a difference in terms of his pregame preparation:

“Just schematically, you’re going to go back and look at tape and see what you’ve seen. And then I know, as do our guys, that there will be unscouted looks. They certainly haven’t showed their whole hand, offensively and defensively. So you’re just going back and looking at formation-wise where they’re putting people and what kind of players they are. It will be more about us deploying to what they do.”

The Browns coach concluded his comments by emphasizing that hes happy with the play of both quarterbacks:

“I have been happy with the progress that both guys made. I’m happy with the way they’ve worked. I’m happy with the way they approached this competition, and it’s not always easy to approach a competition in a team fashion, and I respect the way they’ve handled it.”

After hosting the Vikings in their opening game of the 2009 NFL regular season, Cleveland will hit the road for their second game as they take on the Broncos at Denver. Theyll play another away game in week 3, taking on the Baltimore Ravens on Sunday, September 27.

I wish I could say that I wasn’t writing this article from experience but that would be a lie. I wish I could say that chemistry is never an issue between the consultant, S1 attorney and newly elected board members but that would be nave.

The truth is some attorneys who perform great on some public offerings are an absolute nightmare on other transactions. Some board members with a gargantuan size portfolio of contacts are worth the aggravation on some deals but on others fall flat on their face as they try to take the whole company to the ground with them. The reality is qualifying an attorney for the process of an S1 filing goes far beyond whether they’ve got time and experience under their belt. You need to ask the more difficult questions that are almost impossible to test for such as, how do they react in stressful situations? Are they open to stepping outside of their comfort zone to engage in cutting edge filing strategies to speed up the offering process? Do they help with the fundraising? Are they able to refer a PCAOB auditor and a market maker to file the 15c211? These are things that need to be addressed with your S1 attorney but are difficult to actually test beforehand.

Each lawyer is different and all I can say is sit down with them and drill them with a million different questions from a multitude of angles to test their knowledge and their patience. Watch their facial expressions, hand gestures, eye and forehead shift. Look for a bouncing leg or foot and other nervous habits and what questions did you ask to trigger this nervous twitch?

The same techniques can be used for qualifying a board member. The only way to get the best idea of whether there is a fit is to push them to the brink during the interview?

Be careful with this as many qualified professionals could easily take this challenge as disrespect and they’ll walk so don’t be rude or arrogant but with a placid look on your face and a calm voice, drill them and drill them hard.

Many consultants in this industry, myself included had to learn this lesson the hard way and took a lot of time and effort to correct the mistake of bringing on the wrong individual for the solution we were seeking. This is an extremely high stress industry and the environment is constantly at 100 degrees.

Concentrate on being calm, forward thinking, compromising on some issues and uncompromising on others, write down 10 pages of questions and when you sit down with the candidate ask all those questions and other questions that come to mind during the meeting. Test them, push them and get the right person for the job.

Manchester United is in good shape to advance to the Champions League soccer quarterfinals following a 3-2 win over AC Milan at the San Siro. The competition itself was overshadowed by the fact that it was the first time that David Beckham had played against his old team since leaving Old Trafford in 2003, and Wayne Rooney squashed Milan’s early hopes with two goals to put the game on ice. Clarance Seedorf scored at the 85 minute mark to make the score respectable, but Man U controlled play after the halftime break.

AC Milan got on the board first just three minutes into the game as Beckham set up Ronaldinho’s goal that sent the San Siro into a frenzy. Paul Scholes evened the score at the 36 minute mark and the teams went into the halftime break tied at 1-1. Rooney would net his first goal at the 66 minute mark and would score again just 8 minutes later to give Man U a 3-1 lead.

The 24 year old Rooney is becoming recognized as one of the best strikers in soccer. He’s now got 25 goals on the year with 19 games left to play. He’s also received high marks from the soccer press for his playmaking, heady play and overall attitude. The consensus is that he’s already one of the best in the world and is only getting better.

After the game, Beckham complimented Rooney on his play and suggested that he receive consideration for the World Player of the Year award:

“I hope he is a contender for the World Player of the Year and the Ballon D’Or. I would love to see him win every title possible. I have seen Wayne from being a young lad. I played in his debut for England and I have watched him score goals week in and week out ever since. It is amazing to see.”

“He looks after himself and works hard. The way he plays is the way he trains. That is why he is so good and why Wayne is ready for any game. It doesn’t matter how many games he has played or how many he will be involved in to the end of the season, he will be ready for anything.”

There’s a good chance that Beckham and Rooney will be teammates on England’s World Cup team this summer. Beckham made note of that fact:

“I wouldn’t want to see him do it again against us in a few weeks but of course I’d like it in the World Cup.”

Rooney’s sizzling play and Beckham’s veteran leadership and dominant free kicks are a big reason why England is among the World Cup betting favorites before the team has even been made official. England will start World Cup play on June 12 against the United States. England is a +600 choice to win the World Cup, third favorite behind Spain and Brazil.

The Tennessee Titans are preparing to open the NFL regular season on Thursday night and already they have to struggle with the impact of injuries to key personnel. Of all their injuries none are potentially more devastating than the hamstring injury suffered by wide receiver Nate Washington. The most recent development, however, is a positive one for the Titans as Washington has indicated that hes feeling better and there’s a good chance hell play in Tennessee’s opening game. He remains a game time decision, but this prognosis is upgraded from previous assessments of his condition.

Washington suffered a sprained hamstring in practice, and has been receiving daily therapy in hopes of having him ready for Thursdays NFL regular season opener. As of Tuesday, he indicated to the media that the hamstring was sore but not hurting and that it loosened up well after some stretching and warm-ups. Hes currently listed as questionable on the NFLs official injury report, but will be reclassified on Wednesday afternoon. Ever since the injury Washington has been optimistic about being in uniform for the Titans’ NFL season opener.

Speaking to the local media, Washington indicated that the final decision was out of his hands:

“I don’t know if I am going to play or not, that’s up to coach Fisher. I’m pretty happy with the progress that I’ve made … Nothing is holding me back right now.”

Coach Jeff Fisher, meanwhile, was not giving any indication of his decision:

I’m impressed with what he has done so far.

Some sources close to the team are speculating that Washingtons true status is that of a game time decision. They further speculate that Fisher and Washington could be trying to paint a more positive picture in order to force the Steelers to spend their time game planning for the Titans talented wide receiver. Historically, Fisher has been cautious in similar situations and clearly theres no reason for him to rush Washington back into action and risk further injury and more lost playing time if hes not completely recovered.

The Titans signed Washington to a six year, $27 million contract in the offseason with $9 million guaranteed. Hes expressed his desire to quickly make an impact on his new team:

“I want to come in and have an instant impact. Show not only the coaching staff but the whole Titans’ Nation that this is going to be a new era.”

Washington, along with first round draft pick Kenny Britt were brought in hoping to better diversify the Titans run oriented offense. By establishing a downfield passing threat, it will presumably provide more room to run for Tennessees star running back duo of Chris Johnson and LenDale White.

Ben Roethlisberger looked sharp in his return to the Pittsburgh Steelers lineup from injury, while the Buffalo Bills offense continued to sputter as the Steelers topped the visiting Bills 17-0 in NFL preseason action. Roethlisberger finished with 168 yards on 15 for 19 passing as Pittsburgh put 17 points on the board for the shutout. The victory improved Pittsburgh’s NFL preseason record to 2-1, while Buffalo dropped to 1-3 and hardly looked like a team that has had the benefit of an extra preseason contest.

NFL football betting enthusiasts who backed the Steelers cashed their tickets as Pittsburgh covered the -6 price as home favorites. The Steelers are now 2-1 against the number in the NFL preseason, while Buffalo dropped to 1-2-1 ATS. The 17 points went UNDER the total of 36 and represented the Steelers third UNDER in three games.

Roethlisberger was pleased with his performance based on his postgame comments:

“I was really proud of the way the guys were able to move the ball and … change some plays at the line of scrimmage. We made some mistakes early, but then we drove down the field.”

“We’ve got a lot of issues that we’ve got to solve. We’ve got to solve them very quickly.”

Buffalo QB Trent Edwards commended the Pittsburgh defense:

“That’s a great defense. They’re very talented. On our side, we didn’t get the job done. We left our defense on the field too long. … It is frustrating, but the thing is we have a lot to learn. We’re still fighting and it’s still early.”

The Bills were without their star free agent wide receiver Terrell Owens who missed his third straight game with a sprained toe. With their receiver corps depleted due to injury, Josh Reed shared much of his QBs frustration:

“Frustrating. I feel like we’re a much better offense than we showed tonight. It’s still the preseason, but we still want to come out and give a better effort than it felt like we gave tonight.”

Despite their troubles, Reed dismissed talk of panic:

“I’ll say we have more of a sense of urgency than panic. We’ve got to make sure everyone’s still on the same page and nobody’s down. We’ve got to keep everybody up and keep pushing.”

Buffalo will conclude their NFL preseason by hosting the Detroit Lions on Thursday night. Pittsburgh will travel to Charlotte, NC for a game against the Carolina Panthers on the same evening. The Bills will open the NFL regular season on Monday night, September 14th in Foxboro, Massachusetts against the New England Patriots. The Steelers will get their 2009 NFL regular season underway several days earlier, hosting the Tennessee Titans on Thursday, September 10th.

For many professionals, entrepreneurs and business owners the current reality of their inter company and inter industry promotion and prominence is a far cry from where they originally envisioned themselves to be. What is the factor that thrusts some people and companies forward in the professional sense and why are some straggling behind like desperate, obsolete room size computers in a hand held PC world?

Its actually quite simple and it all comes down to a decision… a decision to step up and dominate in a no holds barred, bare knuckle fight to the finish. You need to understand and be comfortable with the reality that not everyone will make it. Most of your colleagues and professional friends are not psychologically or professionally built to last, meaning, they are not willing to do ‘whatever it takes’ to get to that next level.

Here is how it’s done: First, decide on what you want, who you want to be and where you want to go in your career. Second, surround yourself with people that have the above characteristics your are seeking to acquire. Chances are, most of these characteristics will be spread out over several different people as opposed to one or two professional who demonstrate your future self so find 10+ people to become well associated with and begin to pattern them. Don’t just pattern the outward and obvious characteristics but absorb the aura of their overall presents (calm, cool, collect and maybe even arrogant and rude at times).

What are their hobbies and extracurricular interests as these interests are a contributing factor to who they have become. Next, make a decision! Make a decision to overcome any obstacles that stand in your way. Dump friends and associates who are not supportive as they will only hold you back. You should quickly sever ties with any and all counterproductive individuals and interests that keep you from achieving your goal. Next, every morning as you’re getting dressed, brushing your teeth you should also be putting on your psychological garb as well. Slip into the mindset of that person you want to be.

Put blinders on your eyes so there are no distractions. What you will find is that opportunities will seem to fall into your lap because you are willingly submerging yourself into a subculture that has worked for all of those around you who are living the dream that you will soon be part of.

As for domination, you will find that stepping into this new code of conduct and professional character you will begin to steamroll forward, yes some people will be crushed under the wheel of your progress but this is a natural part of evolution. Use the element of arrogance, not in an artificial way that is used by insecure people but in a form of self promotion. Begin to state your opinion on industry specific blogs.

Put out industry niche information videos on viral media sites. Bring internet surfers to your blogs and videos with social and news bookmarking links scattered all over the web. Brand yourself as the ‘god’ of your industry. Your opinion matters and after others see you opinions and concepts enough they will begin to see these ideas as the norm. They will feel that up until now they have been misinformed and uninformed and you are the person on the cutting edge of your industry. As you build momentum, whatever you do, do not stop! As you build traction of growing your own personal ‘brand’ and ‘subculture’ within the industry, this should only influence you to take it one step further with articles submitted to global, high PR article directories and press releases through various channels. This is just the beginning but you are on your way to absolute, industry domination!
